BACKGROUND 
Ng Lip  Chih  completed  his  Bachelor  of  Laws  degree  at  the  London  School of Economics and Political Science. He is also a qualified solicitor of the Supreme Court, United Kingdom.  Upon graduation in 1996, he joined the largest law firm in Singapore. Lip Chih was made a Partner after 5 years. In 2004, Lip Chih was seconded to SGX to act as Head of Enforcement.
 
After spending ten years in the largest law firm in Singapore, Lip Chih left and founded Ng Lip Chih & Co. In 2009, Lip Chih founded NLC Law Asia LLP and was appointed to act as its Managing Partner. In 2014, Lip Chih founded NLC Law Asia LLC and served as its Managing Director. In April 2017, Lip Chih joined Foo & Quek LLC as a Director. Foo & Quek LLC is a reputable legal firm first established in 1972.

Lip Chih has extensive experience in software, real estate, corporate and litigation matters. His clientele includes international clients from Japan, China, Indonesia, Holland and USA.
 
In recognition of his experience and expertise in the legal field, Lip Chih has been appointed as a member of various key professional boards and panels, including the following:
 
  1. Lip Chih has been appointed by the Minister For Law to act as a Statutory Member of the Singapore Law Society Council pursuant to Section 48(1)(B) of the Legal Profession since January 2017. Lip Chih was re-appointed by the Minister For Law to act as a Statutory Member of the Singapore Law Society Council pursuant to Section 48(1)(B)  of the Legal Profession for a third term from 1 January 2021 to 31 December 2022.
  2. Lip Chih has also been appointed a Member of the Disciplinary Panel under the Institute of Valuers and Appraisers, Singapore (IVAS) for the term of 1 July 2021 to 31 March 2023.  IVAS plays an active role in upholding the professional excellence of business valuers and the IVAS Disciplinary Panel plays a vital role in ensuring the continued excellence of Chartered Valuer and Appraiser (CVA) Charter holders.
  3. Lip Chih has also been appointed an Adjudicator with The Financial Industry Disputes Resolution Centre Ltd (FIDReC) with effect from 1 January 2022. FIDReC is an Alternative Dispute Resolution institution specialising in the resolution of financial disputes.
  4. Lip Chih is also a committee member of the Professional Development And Practice Chapter, Singapore Academy of Law. The Professional Development And Practice Chapter focuses on the development and upgrading of the legal professionals in Singapore.
  5.  In addition, Lip Chih was a member of the Audit Committee of the Tanglin Club. The Tanglin Club is one of the oldest clubs in Singapore.
  6.  Lip Chih also served as a Council Member of a Management Corporation for a condominium development in Singapore.

  • Acting  in  the  drafting  and  review  of  distribution  agreements,  including  a  distribution agreement for a well-known Japanese F&B brand.
  • Acting in the drafting and review of internal compliance policies, including an internal compliance policy for an international pharmaceutical company.
  • Acting in the drafting of a franchise agreement between a PRC company and Hong Kong company for the setting up of an American food chain in the PRC.
  • Acting in the due diligence exercise for the acquisition of a logistics and transport company located in Foshan.
  • Acting for the vendor in the sale of a logistics building in the value of $15 million.
  • Acting for Liquidators in the liquidation of companies.
  • Acting and advising in family estate and trust matters.

  • Baldor Electric Company v Goh Kee Boon [1998] SGHC 352: Acting for the Plaintiff in an action against its former director for misappropriation of its subsidiary company's property.
  • OCBC Securities Private Limited (Formerly known as OCBC Securities Pte Ltd) v Lim Wee Beng Eddie [1998] SGHC 400: Acting for the Plaintiff against its customer for outstandings. The Plaintiff was awarded the sums claimed together with costs on an indemnity basis.
  • CEF (Capital Markets) Ltd and Another v Goh Chin Soon and Others [2001] SGHC 342: Acting for the Plaintiff, a merchant bank based in Hong Kong, in a dispute arising from its loan amounting to US$40 million to a businessman in support of his purchase of 40% of the equity of a public listed company in Malaysia.
  • Public Prosecutor v Tan Hor Peow Victor [2006] SGDC 148: Acting for the accused, a CEO and Managing Director of a Singapore listed company, who was charged for multiple charges including conspiracy to cheat, falsification of documents, making false or misleading statements and failing to act honestly as a director.
  • Lee Chee Wei v Tan Hor Peow Victor and others [2008] 4 SLR(R) 80; [2008] SGHC 88: Acting for the 1st Defendant in a dispute for a sale of shares.
  • AAR and another v AAS (liquidator and trustee of B and others) and others [2009] 4 SLR(R) 33; [2009] SGHC 139: Acting for the applicants of an injunction to resist the Respondents' application to vary the injunction.
  • Baldor Electric (Asia) Pte Ltd v Liew Chin Choy and others [2010] SGHC 32: Successfully acting for the Plaintiff in claiming against its former Sales Manager for breaches of duty of fidelity and good faith.
  • Baumann Xiaoyan v Tong Lian Joo and another [2011] SGHC 178: Successfully defending the 2nd Defendant in a misrepresentation claim brought by the Plaintiff for a contract for the sale of art works.
  • Management Corporation Strata Title Plan No 2746 and Others v Boon Kee Battery Service and Another [2012] SGSTB 2: Successfully defending the Defendants against a claim brought by the Management Corporation. The Management Corporation's claims against the Defendants to pay fines for breaching various By-Laws were dismissed by the Strata Titles Board.
  • Aliev Firoudin v Kon Yin Tong & another [2013] SGHC 128: Acting for the Liquidators in a Proof of Debt.
